NISM-MCCI Roundtable Conference on “Corporate Governance for Listed Companies” March 4, 2019 | Chennai

The School for Corporate Governance (SCG) of the National Institute of Securities Markets (NISM) along with Madras Chamber of Commerce and Industry MCCI) had organized a Roundtable Conference on Corporate Governance for Listed Companies on March 4, 2019 at Chennai.

The Conference was aimed at sensitizing the Chief Executive Officers, Managing Directors, Independent Directors, Company Secretaries and other stakeholders, about the new Corporate Governance Code introduced by SEBI for listed companies, which would be effective from April 1, 2019.

Dr.B.Ravi, Chairman, Corporate Matters Committee, Madras Chamber of Commerce & Industry, welcomed the participants and requested them to take the benefits out of the knowledge and rich experience of the faculty members.

Dr.M.Thenmozhi, Director, NISM, spoke about the recent academic research, which indicates a strong linkage between corporate governance and performance of listed companies. She also mentioned about the increasing investor appetite for companies with better corporate governance scores, both in India and in other jurisdictions.

Mr.G.Mahalingam, Whole Time Member, SEBI, in his Keynote Address, elucidated the participants with the rationale behind the recent regulatory changes brought out by SEBI for enhancement of corporate governance standards of publicly listed companies. Mr.Mahalingam impressed upon the listed companies to ensure compliance both in letter and spirit, as it would effectively lead to better performance of companies in the long term.

Mr.N.Ramanathan, Managing Director, Ponni Sugars Ltd, made a detailed presentation about the Impact of governance on performance of listed entities. Mr.P.Viswanathan, Company Secretary, Sundaram Finance Ltd, explained about the Issues & Challenges in the governance of Non-banking Finance Companies. Mr.V.A.George, Managing Director, Thejo Engineering Ltd, shared about his experience as to how good corporate governance had earned the trust of investor and resulted in better performance of companies.

Dr.V.R.Narasimhan, Dean, NISM explained to the participants about how good corporate governance framework ensures the rights of shareholders. Mr.M Krishnamoorthy, Faculty, NISM, made a detailed presentation about the recent active participation of institutional investors in voting of company resolutions and how it has positively impacted the outcome of such resolutions.

Mr.Pradeep Ramakrishnan, Deputy General Manager, SEBI and Ms Priya Subbaraman, Chief Regulatory Officer, National Stock Exchange Ltd, elucidated the participants with the nitty-gritty of the new Corporate Governance Code and also addressed the queries raised by the participants in this regard.

Mr.V.V.Naresh, Co-Chairman, MCCI Corporate Matters Committee, delivered the vote of thanks.
