NISM-FICCI-NSE Conference on “Corporate Governance for Listed Companies” April 5, 2019 | New Delhi

The School for Corporate Governance (SCG) of the National Institute of Securities Markets (NISM) along with Federation of India Chambers of Commerce and Industry (FICCI) and National Stock Exchange of India Ltd (NSE) had organized a Conference on Corporate Governance for Listed Companies on April 5, 2019 at New Delhi. NSE Ltd had also provided the sponsorship for the programme.

SEBI had introduced the new governance code for publicly listed companies in May 2018 based on the recommendations of the Uday Kotak Committee. As some of the major provisions relating to Board composition are effective from April 1, 2019, the Conference was organized to impress upon the Chief Executive Officers, Managing Directors, Independent Directors, Company Secretaries and other stakeholders about complying with these changes.

Ms Jyoti Vij, Deputy Secretary General, FICCI welcomed the dignitaries and requested the participants of the Conference to take benefits out of the knowledge and rich experience of the experts and practitioners.

Dr. V.R.Narasimhan, Dean, NISM, while underscoring the theme of the Conference, requested all the stakeholders to comply with the provisions of the new Regulations, both in letter and spirit.

Mr. Amarjeet Singh, Executive Director, SEBI, delivered the Keynote Address. In his Keynote address, Mr.Amarjeet Singh, dwelt upon the evolution of corporate governance both at global and national level. The Executive Director, SEBI, explained the rationale behind the recent regulatory changes and also replied to the queries raised by the participants.

Ms. Vijaya Sampath, Chair, FICCI Corporate Laws Committee & Professional Independent Director, shared her insights as a director in various listed companies. Mr.B Murli, Company Secretary, Nestle India Ltd spoke about Industry experience in complying with Corporate Governance framework.

Shri Pradeep Ramakrishnan, General Manager, SEBI, deliberated with the participants on the latest changes in SEBI LODR, more particularly the provisions relating to Board Composition, Institution of Independent Directors and the role of various Committees.

Mr. Kaustub Upadhyaya, Manager, National Stock Exchange of India Ltd, provided the Stock Exchange perspective of the recent changes. He also made a detailed presentation on the status of compliance with the regulatory requirements by listed companies.

Mr. M.Krishnamoorthy, Member of Faculty, NISM, touched upon the role and responsibilities of various stakeholders in complying with the regulatory changes.
